These terms govern your use of Vertex ERP, published by KAVIN INTERNATIONAL. By installing or using the software you accept them.

The licence
When you buy Vertex ERP you are buying a licence to use it, not the software itself. The licence is for one PC and runs for the period you paid for, normally one year from the date the key is issued. Extra PCs are licensed separately.
The licence is personal to your business and may not be resold, sub-licensed or transferred to another business. Moving your licence to a replacement PC is normal and is done from inside the software, or by asking us.
You may not copy the software for distribution, take it apart to work out how it is built, or remove the notices identifying who published it.
The free trial
The trial gives you the complete software for thirty days from the first time it runs. When it ends the software asks for a licence key. Anything you entered stays on your PC and is not deleted, altered or withheld.
What you pay
Prices are shown on the pricing page and are stated exclusive of GST, which is charged in addition at the applicable rate. Prices may change; a change never affects a licence you have already paid for, for the period you paid for.
Payments are taken through Razorpay. We do not see, handle or store your card, UPI or bank details.
How the software is delivered
The software is downloaded from this website. Your licence key is issued by us and sent to the email address you give us — it is not a download, and we do not send keys over WhatsApp or any other message service, because a key in a message log stays there.
Your books are yours, and so is what you file
Vertex ERP runs on your own PC and keeps your accounts there. We do not hold your books and cannot recover them for you. Taking backups is your responsibility; the software makes it easy and will do it automatically, but it cannot do it on a machine that is switched off or a drive that has failed.
The software helps you prepare GST returns and other statutory documents from the entries you make. What you file remains your responsibility, and your accountant’s. We do not audit your entries, and a return is only as correct as what was keyed into it.
Updates and support
Updates are included while your licence is current, and are downloaded from within the software. Support is by telephone, WhatsApp and email during working hours. We do not promise a response time.
We may change or withdraw parts of the software. Where a change would take away something you rely on, we will say so in the release notes the software shows you.
If the licence ends
If your licence lapses or is withdrawn, the software stops accepting new entries. It does not lock your books away — you can still read them, print them, and take a backup out.
We may withdraw a licence if it has been copied, resold, or used on more PCs than were paid for.
What we are liable for
We provide the software with reasonable skill and care. We are not liable for indirect or consequential loss, for loss of profit, or for loss of data where a backup would have prevented it. Nothing here limits liability that cannot lawfully be limited.
Our total liability in any twelve-month period is limited to what you paid us for the licence in that period.
Law and jurisdiction
These terms are governed by the laws of India. The courts named below have exclusive jurisdiction.
The courts at Jalandhar, Punjab have exclusive jurisdiction.
Changes to these terms
We may update these terms. The date at the top says when they last changed, and the version on this page is the one that applies.
